Two Delaware decisions this year may be worth ten minutes of any seller=E2=
=80=99s time.

In September, the Court of Chancery ordered a buyer to provide biweekly pip=
eline and pricing data so a seller could monitor a $50 million earnout, hel=
d that the buyer=E2=80=99s unwritten carve-outs were =E2=80=9Cforeclosed by=
the plain, unambiguous text,=E2=80=9D and described the contract=E2=80=99s=
=E2=80=9Cmutual agreement=E2=80=9D step as verification rather than a veto=
. The seller had to win a two-day trial to get there; the express informati=
on right the court discussed covered only working papers after the fact.

In July, the Delaware Supreme Court revived a fraud claim arising from a $1=
00 million acquisition that a trial court had rejected on the ground that t=
he buyer had been willfully blind. Missing red flags, the court said, is no=
t willful blindness, and, quoting an earlier Chancery decision, a =E2=80=9C=
failure to discover the fraud through due diligence does not excuse it.=E2=
=80=9D
